About Theresa

Theresa focuses her practice on real estate finance transactions, including the representation of institutional lenders in the origination and syndication of acquisition, construction, development, mezzanine and permanent loans, with a particular expertise in complex debt structures and multi-property and multi-state portfolio financing transactions. In addition, Theresa has expertise with respect to REIT and fund credit facilities, including secured and unsecured borrowing base transactions to finance acquisition of multifamily and healthcare properties. Theresa has also represented institutional clients in the purchase and sale and related financing of multi-property and multi-state portfolio transactions and as borrowers in the negotiation and closing of construction loans.

Theresa’s previous private practice experience was, most recently as a shareholder, and prior thereto as an associate, in Atlanta and New York offices of international law firms. In addition, Theresa’s prior experience also includes public sector experience as an attorney with the U.S. Department of Housing and Urban Development (HUD), where she advised with respect to FHA-insured commercial mortgages and other affordable housing finance programs.

  • Represented co-lenders and lead arrangers in the joint origination and placement of a securitized mortgage loan of $300 million and simultaneous origination and syndication of a mezzanine loan, collectively secured in part by multiple borrowers’ fee and leasehold interests in a trophy shopping mall
  • Represented debt fund lender, as mezzanine lender, in connection with the origination of a $100 million mezzanine loan, in a capital stack totaling over $1 billion in debt, to finance the acquisition of a national portfolio of multifamily affordable housing properties
  • Represented lender in the origination of a $75 million revolving credit facility with an accordion feature of up to $150 million, and subsequent additional advances to finance acquisitions of healthcare properties
  • Represented lender in the origination of a syndicated construction loan of up to $80 million for the construction of a multifamily apartment development
  • Represented private equity fund, as borrowers and subsidiary guarantors, in the origination of, and initial draws from, a revolving credit facility with maximum principal balance of up to $400 million
  • Represented private equity fund in $700 million acquisition of a multi-state multifamily portfolio
  • Represented private equity fund in $500 million acquisition of an industrial portfolio
