About Adam

Adam has over 33 years’ experience providing general business and corporate counsel to a broad range of businesses, enterprises, executives, ventures, entrepreneurs, and institutions in all phases of development. Adam handles a wide range of agreements and matters covering buying and selling businesses, divestitures, limited liability companies/joint ventures, equity investments, business financing, corporate governance matters, business succession planning, entity selection and formation, dissolutions, shareholder agreements and operating agreements, corporate divorces, non-solicitation and non-competition agreements, consulting agreements, vendor and supplier agreements, distributor agreements, licensing agreements, leasing, technology agreements, employment matters, executive employment and severance agreements, non-disclosure and confidentiality agreements, buy-sell and equity transfer restriction agreements, and various business transactions, contacts, agreements, and matters.

Adam has closed hundreds of business transactions, including numerous mergers and acquisitions and business successions transactions. In addition, Adam advises privately owned businesses, family-owned businesses and closely held businesses as they plan for growth and execute succession planning strategies. Adam also represents executives and management level employees in connection with employment agreements, executive compensation and severance matters.

Prior to re-joining Riemer & Braunstein, LLP, Adam was a Partner at Mirick O’Connell, and he previously served as General Counsel to United Site Services, a private equity portfolio company with operations in over 33 states with over 3,700 employees. Prior to serving as General Counsel at United Site Services, Adam was a senior partner with Riemer & Braunstein, LLP in Boston for many years.

Adam has skillfully developed his practice to provide decisive, practical, and reasonable legal solutions to the firm’s clients as they face demanding transaction deadlines, legal demands and challenges, and issues requiring firm legal guidance and strong business acumen. Adam has leveraged his legal experience and business acumen together with his reasonable, timely and practical approach to legal matters to help the firm provide its many clients with a full-service solution to their legal and business issues. Adam’s approach to client representation and their legal and business issues is focused on pragmatic problem solving and dispute avoidance through client focused realistic solutions built on his years of legal, transaction and negotiation experience along with careful issue spotting, planning and plan execution.

  • Lead attorney for the acquisition of over 125 businesses in the portable sanitation, temporary fencing, and other construction, event, and emergency related services and rentals, serving the  construction industry, government agencies, concerts, festivals, sporting events, agricultural industry, and energy industry as part of an overall buy and build strategy which led to the acquiring entity being sold several times to private equity buyers
  • Represented the seller of a medical instrument distributor business based in New England in its securities sale to a strategic buyer based in France
  • Represented a Massachusetts based specialty medical supplier in its acquisition of a complementary specialized medical supply manufacturer and seller based in New York
